Partner Commission Agreement

1. Commission Structure
Nigmet Sales Partners earn commissions on restaurant subscriptions brought through their referral efforts. The structure has three components: onboarding bounty, recurring commission, and tier-based adjustments.
1.1 Signup Bounty
Partners receive a one-time bounty equal to 100% of the Operations monthly subscription price for the restaurant's country when the referred restaurant completes their 30-day free trial and pays their first invoice. Free Menu plan signups do not earn a bounty.

1.2 Recurring Commission (Active Status)
While your partner account is Active (you closed at least one deal within the last 90 days), you earn recurring commission on each paid subscription invoice:
- Year 1 (months 1–12 after the restaurant's first paid invoice): 20% of the subscription price
- Year 2+ (while the restaurant remains a paying customer): 10% of the subscription price
For annual plans, the commission is calculated on the annual price and amortized into 12 monthly payouts.

1.3 Sales Inactive Status (5%)
If you do not close a new restaurant deal within 90 days, your account moves to Sales Inactive Status. Recurring commission drops to a flat 5% of the subscription price on each paid invoice. Bounties on new conversions still apply. Close one new deal to restore Active Status.
1.4 Dormant Status (0%)
If you remain Sales Inactive and do not log into the Partner Portal for 180 consecutive days, your account becomes Dormant. Recurring commission drops to 0%. Bounties on new conversions still apply. Your referred restaurants may be reassigned to an active partner to ensure they receive support.
2. Eligible Plans
- Menu (Free) — No commission (plan price is €0).
- Operations — Commission calculated on the full subscription price.
- Scale — Commission calculated on the full subscription price.
3. Payment Schedule
Commissions are accrued monthly and paid via Stripe Express within 30 days of the month's close. A minimum payout threshold of €10 (or equivalent) applies.
4. Adjustments & Cancellations
If a referred restaurant cancels, the cancellation takes effect at the end of their current billing cycle. If a restaurant cancels during their 30-day trial, the associated bounty is not paid. Recurring commissions reflect actual collected revenue.
5. Changes to Commission Rates
Nigmet reserves the right to modify the commission structure with 60 days' written notice. Existing commissions earned before the change date are not affected.
